Before you hire: buying guide for company setup in Bali

Firms that form and maintain the foreign-owned company (PT PMA) a foreign investor uses to build or rent out property, and register it in the OSS licensing system.

This is information, not legal advice. Rules are cited with the date we read them.

What they do here

A company setup firm forms the company, registers it in OSS (the integrated electronic business licensing system, oss.go.id), and often keeps it compliant afterwards with reporting, licence updates and corporate changes. For a foreign investor the vehicle is usually a PT PMA, a limited company with foreign investment.

Why it matters for property: a company formed under Indonesian law and based in Indonesia may hold a right to build, Hak Guna Bangunan (UU 5/1960 Article 36), which a foreign individual may not. The rules a PT PMA must meet, read from BKPM Regulation 5/2025 (in force since 2025-10-02):

  • A PMA is classed as a large business and must meet a minimum investment value (Article 26(1)).
  • The minimum investment is more than IDR 10,000,000,000, excluding land and buildings, per five-digit business classification (KBLI) per project location (Article 26(2)).
  • For property businesses (development, sale or rental) and short or long-stay accommodation, that value includes land and buildings (Article 26(5)). Property sold as units, not as a whole building or integrated estate, follows a different rule (Article 26(6)).
  • The minimum issued and paid-up capital is IDR 2,500,000,000 per company (Article 26(10)).
  • Paid-up capital may not leave the company account for at least 12 months, except to buy assets, construct buildings or fund operations (Article 27(1)).

What a quote should include

  • Formation: name approval, the notarial deed of establishment, registration, NIB and the business licences the chosen activities need in OSS.
  • Which business classifications (KBLI) the firm proposes, and why they fit your plan.
  • Whether bank account opening, tax registration and the first reports are included.
  • Annual costs after formation: reporting, accounting, licence maintenance, registered address.
  • Government and notary fees shown separately from the firm’s fee.
  • Who acts as director and commissioners, and whether any role is filled by the firm’s staff.

Permits and registrations to ask for

  • The firm’s own NIB, searchable on OSS.
  • For your company once formed: the deed of establishment, the NIB, and the licences issued in OSS for each business classification. Company data can be searched on the Ministry of Law’s AHU portal (ahu.go.id).
  • The notary who makes the deed: a limited company is founded by notarial deed in Indonesian (UU 40/2007 Article 7(1)). See notaries.

Warning signs

  • A plan that leaves the land or shares held in an Indonesian citizen’s name for you, without written legal advice. Transfers that give freehold land to a foreigner, directly or indirectly, are void by law (UU 5/1960 Article 26(2)). Ask a property lawyer.
  • A quote that does not name the business classifications, or names ones that do not match what you will do (for example renting out a villa).
  • No mention of the IDR 2,500,000,000 paid-up capital or the investment value rules above.
  • The firm holds your company’s OSS login and you do not.
